The MNvest law passed in 2015 and made effective in 2016 allows any MN based business the opportunity to publicly solicit for investment from both accredited and non-accredited investors AFTER it has an effective exemption from the MN Department of Commerce.

Raise up to $1M with your own financial statements or up to $2M if they have been reviewed or audited. Other options for up to $5M exist and there is a path to raise capital from people outside Minnesota under REG-CF (up to $1M but easier and cheaper if raising less than $107K).

Can be used for equity, debt, convertible notes, and revenue share agreements!

If you don’t have a bank or angel investor to get you $100K you can use investment crowdfunding to put together a group of 100 people at $1K each and get the same deal done.
